Terms of Service for Farm TimeCard

1. Acceptance of Terms

By creating an account or using the Farm TimeCard app ("Service"), operated by Farm TimeCard LLC ("we," "our," or "us"), you agree to be bound by these Terms. If you do not agree, you must stop using the app immediately.

2. Description of Service

Farm TimeCard is a workforce management platform designed for agricultural time tracking, payroll estimation, and compliance. The Service includes web and mobile applications for employers, managers, supervisors, and employees.

3. Account Responsibilities

  • Security: You are responsible for maintaining the confidentiality of your login credentials.
  • Accuracy: You agree to provide accurate data (e.g., identity, work hours). Falsifying time records is a violation of these terms and potentially labor laws.
  • Authorization: If you are an employer, you represent that you have authority to register your organization and authorize employees to use the Service.

4. Acceptable Use

You agree not to:

  • Use the app for any illegal purpose.
  • Attempt to reverse engineer or hack the service.
  • Harass or spy on other users.
  • Submit false or fraudulent time records.
  • Use the Service to circumvent labor laws or employee protections.

5. Termination

We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent activity.

6. FLSA and Labor Law Disclaimer

The Fair Labor Standards Act (FLSA) requires employers to maintain accurate time records for at least 3 years. Farm TimeCard facilitates record-keeping but does not guarantee compliance with FLSA, state labor laws, or any other regulations.

Farm TimeCard provides automated overtime calculations based on publicly available labor law thresholds (including Oregon HB 4002, California, Washington, and other state laws). However, the Service is a tool and does not constitute legal, accounting, or compliance advice. Overtime rules, wage rates, and regulatory requirements may change. You are solely responsible for:

  • Verifying all overtime and payroll calculations before processing payroll.
  • Consulting with a qualified attorney, CPA, or labor compliance professional regarding your obligations.
  • Ensuring your use of the Service complies with all applicable federal, state, and local laws.
  • Maintaining your own backup records as required by law.
  • Verifying minimum wage compliance for piece-rate workers.

Farm TimeCard LLC makes no representation that the Service will ensure compliance with any law or regulation. We are not liable for penalties, fines, back-pay awards, or other damages resulting from reliance on the Service's calculations.

7. GPS Location Tracking

The Service uses GPS location data to verify employee presence at designated work sites. By using the mobile application:

  • Employers acknowledge: They are responsible for providing proper notice to employees about location tracking and obtaining any required consent under applicable state laws (including California, Texas, and other jurisdictions that require written consent).
  • Employees acknowledge: Their location will be collected when performing time-clock actions (Clock In, Clock Out, Break Start, Break End) and may be used to verify work site presence.

Location tracking is limited to work-related activities and does not occur when employees are clocked out.

8. Data Retention

We retain time records, payroll data, and audit logs for a minimum of 3 years to comply with FLSA record-keeping requirements. Employers may request data exports at any time. Account deletion requests will be processed in accordance with our Privacy Policy, subject to legal retention requirements.

9. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that calculations will be accurate in all circumstances.

10. Limitation of Liability

To the maximum extent permitted by law, Farm TimeCard LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost wages, data loss, regulatory fines, or penalties arising from your use of or inability to use the Service. Our total liability for any claim arising from these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Farm TimeCard LLC, its officers, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your reliance on the Service's calculations for payroll or compliance purposes; (c) your failure to comply with labor laws; (d) claims by employees or regulatory agencies related to your use of the Service; or (e) your violation of these Terms.

12. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Portland, Oregon. The arbitrator's decision shall be final and binding.

Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. To the full extent permitted by law: (a) no arbitration or proceeding shall be joined with any other; (b) there is no right or authority for any dispute to be arbitrated on a class-action basis; and (c) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

Small Claims Exception: Notwithstanding the above, either party may bring an individual action in small claims court.

13. Governing Law

These terms are governed by the laws of the State of Oregon, USA, without regard to conflict of law principles.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
